Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website bscanned.com, the BSCANNED admin platform, the BSCANNED mobile applications, and any related services (collectively, the "Services") operated by B Scanned Inc. ("BSCANNED", "we", "us", or "our"). By accessing or using the Services you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Services. By using the Services you represent and warrant that you meet these requirements and that any information you provide is accurate and complete.

2. Accounts

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You agree to notify us immediately of any unauthorized access at brandon.thomas@bscanned.com.
• We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent, abusive, or unlawful purposes.

3. The Services

BSCANNED provides AI-assisted business growth tools for service businesses, including lead capture, voice AI calling agents, cross-platform social media scheduling and publishing, content generation, CRM, analytics, and related automation. Specific feature availability depends on your subscription tier and may change over time.

4. Third-Party Platform Connections

The Services let you connect third-party accounts (including but not limited to Facebook, Instagram, LinkedIn, YouTube, TikTok, X / Twitter, Threads, Google, Stripe, and Square) so that BSCANNED can act on your behalf. By connecting any third-party account:

• You represent that you have the right to grant BSCANNED access to that account.
• You authorize BSCANNED to perform the specific actions disclosed at the point of connection (e.g. publish posts, refresh tokens, retrieve metrics).
• You agree that your use of each connected platform remains subject to that platform's own terms — including the YouTube Terms of Service, Google Privacy Policy, TikTok Terms of Service, TikTok Privacy Policy, the Meta Platform Terms, and the LinkedIn API Terms.
• You may revoke access at any time as described in our Privacy Policy. Revocation will not undo content already published.

BSCANNED is not responsible for the availability, accuracy, or policies of any third-party platform, and any platform may change or remove the APIs the Services depend on at any time.

5. User Content

"User Content" means any text, images, video, audio, leads, brand assets, business information, or other material you upload to or publish through the Services.

• You retain ownership of your User Content.
• You grant BSCANNED a worldwide, royalty-free, non-exclusive licence to host, store, transmit, transform, and publish your User Content solely to operate and provide the Services to you (including transmitting it to the third-party platforms you have explicitly authorized).
• You represent and warrant that your User Content does not infringe any third party's intellectual property, privacy, publicity, or other rights, and does not violate any law.
• You are solely responsible for the legality, accuracy, and appropriateness of any User Content you publish through the Services.

6. Acceptable Use

You agree not to use the Services to:

• Publish content that is unlawful, defamatory, infringing, discriminatory, sexually explicit, or harmful.
• Send spam, unsolicited bulk communications, or content that violates the policies of any connected platform.
• Impersonate another person or business, or misrepresent your affiliation with any person, business, or government entity.
• Attempt to reverse-engineer, decompile, scrape, or otherwise extract source code or non-public data from the Services.
• Use the Services to train, fine-tune, or develop competing AI / ML models without our express written permission.
• Bypass, disable, or interfere with any security, rate-limiting, or authentication mechanism.
• Use the Services in violation of any applicable law, regulation, or third-party platform policy.

7. AI-Generated Content

Parts of the Services use third-party AI models (including but not limited to Anthropic Claude, fal.ai, OpenAI, ElevenLabs, and Google Gemini) to generate text, images, video, voice, and other content. AI-generated outputs may be inaccurate, biased, or unsuitable for your purpose. You are responsible for reviewing AI-generated content before publishing or otherwise relying on it. BSCANNED makes no warranty that AI-generated content is fit for any particular use.

8. Fees, Billing, and Cancellation

• Paid plans and one-time services are billed according to the price disclosed at purchase, in Canadian Dollars or US Dollars as indicated.
• Subscription fees recur monthly or annually until cancelled. You may cancel through the in-app billing settings or by emailing brandon.thomas@bscanned.com.
• Except where required by law, fees are non-refundable. Pro-rated refunds may be issued at our discretion in cases of duplicate billing or material service unavailability.
• Payment processing is performed by Stripe and/or Square; their terms of service apply to the payment leg of any transaction.

9. Intellectual Property

The Services, including all software, designs, text, graphics, logos, and trademarks, are owned by B Scanned Inc. or its licensors and are protected by Canadian and international intellectual property laws. Except for the licence expressly granted in these Terms, no rights are granted to you.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BSCANNED AND ITS OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS ($100 CAD).

12. Indemnification

You agree to indemnify and hold harmless BSCANNED from and against any claim, demand, loss, or expense (including reasonable legal fees) arising out of or related to (a) your User Content, (b) your use of the Services, (c) your violation of these Terms, or (d) your violation of any law or third-party right (including the rights of a connected platform).

13. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or for any other reasonable business reason. Upon termination, your right to use the Services ceases immediately. Sections 5 (User Content licence survival), 9, 10, 11, 12, 14, and 15 survive any termination.

14. Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts located in Calgary, Alberta have exclusive jurisdiction over any dispute arising out of these Terms or the Services, except that BSCANNED may seek injunctive relief in any court of competent jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced by posting the updated Terms on this page with a revised "Last Updated" date and, for active subscribers, by email or in-app notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
